Cap table in a Google Sheet is not the register of members.

An investor relies on a shared Sheet. The ROC register tells a different story. Convenience files help founders manage dilution maths — they do not displace statutory corporate records. When ownership is disputed, the fight moves to what the company was obliged to maintain and what was actually filed or entered. A living spreadsheet can be evidence of what someone believed. It is not, by itself, the register.
